License Agreement for the Use of R7-Office Software

Please read this document carefully. The terms of this License Agreement (the Agreement) impose certain legal obligations on You as a person installing and/or using the software.

This Agreement provides for different terms of use depending on the software You have installed and the type of License You have purchased.

If You do not agree to all of the terms set out below in full, please do not install or otherwise use the software.

1.1. Software means the R7-Office computer program, registered in the Unified Register of Russian Programs for Electronic Computing Machines and Databases of the Ministry of Digital Development, Communications and Mass Media of the Russian Federation (register entry No. 5318 dated May 6, 2019), developed by the Licensor. A description of the features and intended functionality of the Software is available on the developer’s official website: https://r7-office.ru/en/.

1.2. User (You) means a person lawfully using the Software under the User Agreement.

1.3. End Users means individuals lawfully using the Software together with the User.

1.4. Licensor means R7 Joint-Stock Company, the rights holder of the Software.

1.5. Current Software Version means the version of the Software that is current at the time the terms of the Agreement are accepted.

1.6. New Software Version means a version of the Software created from the Current Software Version through modifications and enhancements.

1.7. License means the grant of the right to use the Software. The scope of the rights granted is determined by the License Type.

1.8. License Type means a set of terms defining the scope of the rights granted to the User and the limits on the use of the Software. License Types are specified in the Software Description document (Appendix No. 1 to the Agreement, which forms an integral part of the Agreement).

1.9. License Key means a unique set of alphanumeric characters required to activate the Software and validate the License, and to install and continue using the Software. The License Key is a technological copyright protection measure.

1.10. Server means a dedicated specialized hardware and software system, any other hardware and software system performing server functions, or a virtual machine emulating the operation of a server.

1.11. Certificate means a document in paper form (printed on the Licensor’s letterhead) or electronic form (in PDF format) confirming that Software Licenses belong to a specific User and specifying the Software name, the list of License Keys, and the validity period of the right to Software updates.

1.12. Installation means recording the Software in persistent memory for the purpose of using it on a Server in accordance with its intended functionality.

2.1. The Licensor grants the User a simple (non-exclusive) license to install and use the Software for the number of End Users and in the manner specified by the relevant purchased License.

2.2. The User may use the Software only in the ways expressly permitted by the Agreement.

2.3. Permitted uses of the Software:

2.3.1. Using the Software in accordance with its intended functionality to the extent permitted by the specific License Type.

2.3.2. Making one archival copy of the Software.

2.4. If the terms of use of specific Software are governed by a separate license agreement with the Rights Holder, the terms of that separate license agreement shall prevail over this Agreement.

2.5. The right to use the Software is granted within the territory of the Russian Federation. If the constituent entities of the Russian Federation change during the term of the Agreement, the Parties shall refer to the constituent entities of the Russian Federation as of the date the Agreement was concluded.

3.1. All intellectual property rights in the Software, as well as trademarks and other intellectual property embodied in a copy of the Software, belong to the Licensor and are not transferred to the User.

3.2. The User may not:

3.2.1. Use the Software in any way not expressly permitted by the Agreement or applicable law;

3.2.2. Disassemble or decompile the Software, except where expressly permitted by applicable law;

3.2.3. License the Software and/or transfer the Software distribution package to third parties, whether free of charge or for a fee, or rent out the Software or a hardware and software system containing the Software;

3.2.4. Use the Software for commercial purposes;

3.2.5. Modify or adapt the Software, including making changes solely to enable it to operate on the specific hardware used by the User;

3.2.6. Correct errors in the Software;

3.2.7. Use the Software to cause harm to the Licensor or third parties;

3.2.8. Remove, alter, or conceal any copyright, attribution, or trademark notices included in the accompanying Software documentation or embodied in copies of the Software.

3.2.9. Use the Software after the User’s License has expired.

3.2.10. Provide third parties with access to the License Key, disclose, transfer, or publish it, or otherwise allow its unauthorized use. The User must take all reasonable measures to keep the License Key confidential and shall bear full responsibility for any use of it, including unauthorized use.

4.1. The Software may receive updates from time to time, during which the Current Software Version is replaced with a New Software Version, provided that the User’s License Type grants the right to receive updates. New Software Versions may include enhancements, fixes, and security updates.
4.2. When updating the Software version, the Licensor may change the functionality of the Software and amend the text of the Agreement.
4.3. If an update requires confirmation from the User,
the User may, at their discretion:
4.3.1. Accept the update, obtain the New Software Version and, where applicable, accept amendments to the terms of the Agreement; or
4.3.2. Decline the update and retain the Current Software Version.
4.4. If the User declines a Software update,
the User acknowledges the consequences of using an outdated Software version and shall independently take measures to ensure operational security and protect their data.
4.5. The right to receive Software updates, including new versions and releases, is granted for the period specified in the Certificate, if the vendor provides for the issuance of such a Certificate. After that period expires, Software versions published after the expiry of the update entitlement may be used only if a new update entitlement is purchased. The update entitlement must be purchased in accordance with the total number of licenses held by the User.
4.6. Software Warranty Terms.
4.6.1. During the validity period of the update entitlement, and provided that the User uses the latest available Software version (N) or the preceding version (N–1), the Software is subject to the terms set out in the Software Warranty Terms document published at: https://r7-office.ru/en/doc/garantee#retail.
4.6.2. If critical issues arise in version N–1, You should update to the current version.
4.6.3. Support for earlier versions, older than N–1, is not guaranteed.
4.6.4. Updates and bug fixes are released exclusively for the latest current version (N).
4.6.5. The Software Warranty Terms form an integral part of the license to
use the Software and do not constitute a separate service. They are intended solely to ensure that the Software operates in accordance with its intended functionality and are provided at no additional charge.

5.1. The Licensor does not provide technical support for the Software under the Agreement.

5.2. The Parties may agree to the provision of technical support for the Software under a separate services agreement.

6.1. The Software is provided “as is,” without any express or implied warranties, except for the Software Warranty Terms referred to in Clause 4.6. The Licensor does not and cannot guarantee that the Software will operate properly or be suitable for Your purposes.

6.2. The Licensor shall not be liable to the User for any indirect, incidental, or unintentional damage, loss of profit, harm to honor, dignity, or business reputation, and/or other adverse consequences arising from the use of the Software.

6.3. The User acknowledges that the unconditional and uninterrupted operation of technically complex programs and hardware and software systems cannot be guaranteed, recognizes the need to make periodic backup copies of important documents and databases, and shall independently take the necessary steps to do so.

7.1. The User accepts the terms of the Agreement in full, without any reservations or exceptions, upon beginning actual use and/or installation of the Software.

7.2. The current version of the Agreement is available at https://r7-office.ru/en/license-agreement/.

7.3. The Licensor may unilaterally amend and/or supplement the Agreement without notifying the User. The new version of the Agreement takes effect upon publication at the address specified above.

7.4. The Agreement may be terminated unilaterally if the User breaches Clause 2.2 and/or Clause 3.2 of the Agreement.

This document forms an integral part of the License Agreement for the Use of R7-Office Professional (Server Version) Software. The Licensor reserves the right to amend and/or supplement this document at any time. Amendments take effect upon publication at https://r7-office.ru/en/license-agreement/. 

Depending on its type, a license may be:

• Perpetual — unlimited in duration of use. Granted by the Rights Holder for the entire duration of the exclusive rights in the Software under the terms of this Agreement, unless otherwise stipulated in a separate contract or agreement with the Rights Holder.
• Temporary — limited in duration of use. Granted for a period specified in separate contracts and/or agreements with the Rights Holder and/or its authorized representatives (the term of the temporary license).
